Experience

Dean is an Associate in the Corporate and Commercial team. He advises both private and public sector clients on a range of corporate and commercial matters. Dean joined Capsticks in 2021, having previously worked in private practice advising clients including start-ups, SMEs, publicly traded companies and venture capital funds in various sectors such as healthcare, technology and construction.

Expertise

Dean has extensive experience advising public and private sector clients on corporate and commercial matters such as mergers and acquisitions, funding rounds, joint ventures, corporate governance, procurement, supply of goods and services, non-disclosure agreements, terms and conditions and trade marks.

Notable projects
  • Advising health and social care academy on incorporation of joint venture CIC with multiple public sector stakeholders, drafting members’ agreement and articles of association, negotiating terms;
  • Advising NHS Trust on wholly owned subsidiary governance, potential uses and risks in light of national legislation (e.g. NHS Act 2006, Public Contracts Regulations 2015);
  • Assisting on lift procurement for housing association including preparing template contracts and reviewing/advising on specification;
  • Supporting on joint venture set-up and management for split site development of 1200 units in the North West with circa 600 affordable units provision;
  • Advising social housing PLC on corporate aspects of acquisition and development in East Midlands;
  • Advising NHS Trust and preparing template agreements for catering concessions;
  • Advising NHS Trust in relation to its outsourcing of energy and decarbonisation services, negotiating supply and connection agreements with heat network provider;
  • Drafting deed of variation for NHS Trust in relation to Hard FM services;
  • Advising NHS partner on information rights and corporate governance matters in relation to LIFT portfolio refinancing;
  • Assisting with advice to NHS Trust on generator procurement including analysis of procurement documents, evaluation and moderation records and amending ITT.
