Recently we have:

  • worked with a strategic health authority on the development of policy for the merger and acquisition of NHS trusts
  • advised FTs and NHS trusts on strategically vital mergers and acquisitions (including due diligence and transactional support)
  • advised on innovative joint ventures, including the provision of primary care, research and urgent care services
  • advised on a broad range of successful joint ventures between FTs and third parties (including universities, independent sector and other NHS organisations)
  • advised NHS bodies to develop effective joint working arrangements with local authorities
  • advised a host of NHS organisations on business and asset transfers in the delivery of the Transforming Community Services agenda.  Our pragmatic transaction documentation has helped shape approach to these transfers, and our dedicated transaction team has steered our clients through negotiations and helped work through unforeseen issues
  • continued to complete NHS LIFT and Express LIFT transactions, together with PFI variations, to optimise outcomes and maximise efficiencies for our clients
  • advised Community Health Partnerships on ongoing project, commercial and employment advice in relation to a variety of matters, including the re-structuring of LIFT structures
  • advised a major private healthcare provider in relation to a number of acquisitions including the acquisition of a cancer services business and related joint venturing arrangements
  • advised on the corporate demerger of certain UK and International group companies of a corporate group and the negotiation and implementation of third party investment in the demerged entities.  Our work involved advising on all documentation relating to the investment including negotiating management incentive ratchet arrangements, terms to acquire foreign based minority shareholders and the detailed financing and investment terms.
  • advised Circle, an employee-owned social enterprise, in connection with its successful bid to win an operating franchise to manage an NHS acute hospital, Hinchingbrooke Health Care NHS Trust, partnering with NHS East of England and NHS Cambridgeshire
