Caroline is an experienced commercial lawyer specialising in advising NHS bodies on commercial and contractual matters.
Prior to joining Capsticks, Caroline was at Walker Morris LLP, where she undertook a wide range of commercial and advisory work for public sector clients (including NHS bodies). Caroline's experience includes, drafting and developing a suite of procurement and associated contractual documentation for a Housing Association and another for an NHS organisation. Caroline also delivered training on the documents and further sessions on contract drafting and negotiation.
Since joining Capsticks, she has advised a number of NHS clients on a variety of commercial matters such as structural arrangements (i.e. joint ventures and other corporate structures), developing standard terms and conditions for clients, reviewing and advising on framework agreements and call-off contracts, and drafting quasi-contractual arrangements such as memorandums of understanding. Caroline also advises on a range of governance issues such as conflicts of interests policies and constitutional issues.
Caroline is particularly experienced in providing strategic advice on EU public procurement, and regularly supports clients on the procurement of, and contractual arrangements for, a range of clinical and non-clinical services, as well as providing ad hoc procurement advice. Caroline has advised on a number of major procurements for public sector/NHS clients. She is currently supporting an NHS Trust in relation to its joint bid to provide a range of services. She is advising on the commercial structure of the joint bid, providing procurement advice and advice in relation to the proposed revisions to the Standard NHS Contract in the bid process.
